What Is a Voluntary Dissolution? Definition and Use

Voluntary dissolution is the members' deliberate decision to close an LLC, formalized by filing articles of dissolution with the state and winding up the business.

Definition

Voluntary Dissolution - Voluntary dissolution is the members' deliberate decision to close an LLC, formalized by filing articles of dissolution with the state and winding up the business.

It is the clean way to end an LLC. Members vote to dissolve according to the operating agreement, the company settles its debts, distributes any remaining assets to members, files articles of dissolution with the Secretary of State, and closes bank accounts and the IRS EIN account. Once the state records the dissolution, annual fees, franchise taxes, and registered agent obligations stop accruing going forward, and the entity is formally removed from the public registry rather than lingering as an open, unmaintained company.

Order matters in the wind-up. A common and dangerous mistake is distributing assets to members before paying creditors, which can expose those members personally for the unpaid debts and undo the very liability protection the LLC provided. Creditors are paid first; members take only what remains afterward. Rushing distributions to pocket cash quickly is exactly the misstep that turns a routine closure into personal liability, and it can also draw claims of a fraudulent transfer if the company was insolvent.

Voluntary dissolution contrasts with administrative dissolution, where the state involuntarily terminates an LLC for missed filings or an unpaid registered agent. Simply abandoning an anonymous LLC rather than dissolving it invites that involuntary route, along with accruing penalties, and can leave loose ends and obligations attached to the owner. Filing properly is the difference between a deliberate, documented exit and a messy lapse that resurfaces later when the owner least expects it.

For an anonymous LLC in Wyoming, New Mexico, Delaware, or Nevada, a proper dissolution also cleanly ends the registered agent relationship and removes the entity from the public record, closing the structure without a trailing paper problem or an orphaned public filing. Anonymousllc.co handles the dissolution filings and wind-up steps so entities are closed the right way, in the correct order, rather than left to be dissolved out from under the owner by the state.
