Capital Contribution - A capital contribution is the money, property, or services a member contributes to an LLC in exchange for an ownership interest and a share of profits.
Contributions establish each member's stake and are recorded in the operating agreement, not on any public filing. For example, if one member contributes $30,000 in cash and another contributes equipment appraised at $20,000, the agreement might set a 60/40 ownership split reflecting those values. Contributions can be cash, tangible property, or occasionally services, and the agreed value assigned to each is what fixes the member's percentage and their starting tax basis in the interest they receive.
A frequent error is confusing a capital contribution with a loan to the company. A contribution buys equity and is generally not repaid on demand; a member loan is a debt the LLC owes back, often with interest. Mislabeling the two distorts both ownership math and tax basis, and can create problems if the LLC is later audited or sold.
