What Is a Non-Resident Alien? Definition and Use

A non-resident alien is a person who is neither a US citizen nor a tax resident under the green-card or substantial-presence tests, yet can still own a US LLC.

Definition

Non-Resident Alien - A non-resident alien is a person who is neither a US citizen nor a tax resident under the green-card or substantial-presence tests, yet can still own a US LLC.

Non-resident aliens can fully own US LLCs, obtain an EIN without an SSN, and open US business banking. A founder in Dubai or Lagos, for example, forms a Wyoming LLC, gets an EIN through the Form SS-4 fax channel as a foreign responsible party, and receives US payments through a business account. Their US tax exposure depends on whether the income is effectively connected to a US trade or business, a question that turns on where the work is performed and where customers are, not on the owner's passport.

The costly mistake is assuming a disregarded foreign-owned LLC has nothing to file. A foreign-owned single-member LLC must file Form 5472 with a pro-forma Form 1120 each year to report transactions with its owner, and the penalty for missing it is $25,000. Personal US-source income may also require a Form 1040-NR. 'Disregarded' means disregarded for income tax, not exempt from reporting.

Anonymity is often more valuable to non-resident owners, who want US market access and banking without surfacing their identity in a foreign public registry. Wyoming, New Mexico, Delaware, and Nevada keep the owner off the state record regardless of citizenship, and residency has no effect on the LLC's anonymity. Anonymousllc.co serves non-residents as a core customer, handling formation, EIN, and the Form 5472 reminder, and offers an ITIN where a personal US tax ID is also needed.

Tax treatment differs from residents in important ways. Non-resident aliens are generally not subject to self-employment tax on foreign-source income, and most cannot make an S-corp election, since S corporations require US-person owners. Matching the entity's tax setup to the owner's non-resident status, rather than copying advice written for US founders, is what keeps a cross-border anonymous LLC compliant. The residency status shapes the tax return, never the state-level privacy the entity provides.
