Corporate Transparency Act - The CTA (Corporate Transparency Act) is a 2021 US law requiring certain companies to report their beneficial owners to FinCEN to fight money laundering.

The Corporate Transparency Act created the Beneficial Ownership Information reporting regime administered by FinCEN under 31 CFR 1010.380. A covered reporting company files each beneficial owner's name, date of birth, address, and an identifying document such as a passport, through FinCEN's online portal. The report is not public: it is accessible only to authorized government users and, in narrow circumstances, financial institutions verifying a customer, which is a very different audience from a public state registry.

The rollout has been unusually turbulent, which is the source of most confusion. Multiple court injunctions paused enforcement, deadlines shifted repeatedly, and the March 21, 2025 interim final rule exempted domestic reporting companies from BOI reporting while leaving foreign reporting companies obligated. Assuming today's rule is permanent is the common mistake, because the framework has already changed several times and could change again on short notice.

A key point for privacy-focused founders is that the CTA never affects state-record anonymity. Even when BOI reporting applies, the information goes privately to FinCEN, not to any public registry, so a Wyoming, New Mexico, Delaware, or Nevada LLC stays anonymous on the state's business search regardless of its BOI status. The two systems are separate, and conflating them leads founders to overestimate what BOI exposes.
