Member-Managed vs Manager-Managed LLC

Member-managed and manager-managed describe who runs an LLC: in a member-managed LLC the owners operate the company directly, while in a manager-managed LLC a designated manager, who may or may not be an owner, runs it on the members' behalf.

Member-Managed vs Manager-Managed LLC - Member-managed and manager-managed describe who runs an LLC: in a member-managed LLC the owners operate the company directly, while in a manager-managed LLC a designated manager, who may or may not be an owner, runs it on the members' behalf.

The choice is set in two places: the state formation filing (where a state asks) and the operating agreement (which is private). For an anonymous LLC the filing side is what matters. Wyoming, New Mexico, and Delaware do not require either members or managers on the public Articles or Certificate, so both structures stay anonymous there. Nevada is the exception: its Initial List and Annual List disclose managers, so a Nevada anonymous LLC is filed manager-managed with the commercial registered agent named as manager-of-record, keeping the owner off the public list.

Manager-managed is therefore the anonymity-preferred structure whenever a state or filing would otherwise publish a name. It lets a commercial manager, or the owner acting only in the manager role, sign and act for the company without the members appearing anywhere public. In a member-managed LLC every member can bind the company; in a manager-managed LLC only the manager can.
