In a multi-member LLC these provisions, usually built into the operating agreement, predetermine how a departing or deceased member's interest is valued and who is entitled to buy it. For example, on a member's death the agreement might require the LLC or the remaining members to purchase the interest at a formula price, often funded by a life insurance policy on each owner, so the deceased member's heirs receive cash rather than an unwanted seat in a business they never intended to help run.

A common mistake is having no buy-sell terms at all, which leaves a member's stake to pass by default.
