Because it is never filed with the state, the operating agreement holds the ownership information that public Articles of Organization deliberately omit. In a two-member LLC it might specify a 60/40 split, name one member as managing member, require unanimous consent to admit new owners, and set a buyout formula if someone dies or exits. Banks reviewing an account application, courts resolving a dispute, and the IRS examining a return may all ask to see it, even though the Secretary of State never does. It is the operating manual and the ownership ledger in one document.

The most common and damaging mistake is having no agreement at all, or downloading a generic template that does not match the state's statute. For a single-member LLC this is especially risky: without a proper agreement, the owner weakens the argument that the company is a genuine separate entity, making it easier for a court to treat the LLC as the owner's alter ego and pierce the veil.
