B-Corp (Benefit Corp) - A B corp (benefit corporation) is a for-profit entity legally committed to pursuing social and environmental goals alongside profit, unlike a purely profit-driven firm.
Two distinct things share the name. A benefit corporation is a legal status adopted under state law that lets a company pursue a stated public benefit and consider stakeholders beyond its shareholders. A Certified B Corporation is a private certification granted by the nonprofit B Lab after an assessment of social and environmental performance. A company can be one, both, or neither: a business can be a legal benefit corporation without certification, or hold the certification while organized as an ordinary corporation, because the two are genuinely separate.
A frequent confusion is treating "B corp" as a tax election in the same family as S-corp or C-corp status. It is not. Benefit-corporation status is a governance and mission choice, not a federal tax classification, and it does not change how the entity is taxed by the IRS. Some states extend benefit status to LLCs as a benefit LLC, but in every case the label is about accountability to a public mission, not about the number of layers of tax the entity pays.
For anonymity, benefit status runs in the opposite direction from an anonymous LLC. B corps typically emphasize public transparency, published annual impact reports, and accountability to stakeholders, which is precisely what a privacy-focused owner in Wyoming, New Mexico, Delaware, or Nevada is trying to avoid. The two goals are close to mutually exclusive in spirit: one invites public scrutiny of the company's conduct, the other minimizes the company's public footprint.
As a result, a founder whose priority is staying off the public record is unlikely to choose benefit-corporation status, which invites disclosure rather than shielding it. The concept still matters here so owners can rule it out knowingly, rather than conflating a mission-driven governance form with the tax elections or the anonymous LLC structure that actually serve a privacy objective. Understanding the distinction prevents a founder from adopting a transparency-oriented form while intending the opposite.
