Certificate of Formation - A Certificate of Formation is Delaware's name for the document filed with the state to create an LLC, functionally identical to Articles of Organization elsewhere.

Delaware LLCs come into existence when a one-page Certificate of Formation is filed with the Division of Corporations under 6 Del. C. Section 18-201. It states the entity name and the registered agent's Delaware address, and nothing more is required. It does not name members or managers, which is precisely why a Delaware LLC can be anonymous on the public record from the moment it is formed.

Founders comparing states often assume the Certificate of Formation is a different or more revealing document than a Wyoming Certificate of Formation or a New Mexico Certificate of Organization. It is not. The label changes by state, but the legal function is the same: it is the birth certificate of the entity. Delaware, Wyoming, Nevada, and New Mexico all use minimal formation documents that omit ownership.

A practical example: a founder filing in Delaware supplies only the LLC name and appoints a commercial registered agent, and the resulting public certificate shows the agent, not the owner. The real ownership lives in the operating agreement, which is never filed with the state. Delaware's court of chancery and well-developed LLC case law are the reasons some founders accept its $300 annual franchise tax over Wyoming's cheaper upkeep.

The most frequent mistake is treating the Certificate of Formation as the full governing document. It creates the entity but says almost nothing about how the LLC is run or owned, who the members are, or how profits are split. Members who skip the operating agreement leave those questions to Delaware's default statutory rules, which can weaken the liability shield and complicate banking, since institutions routinely ask to see the ownership and signing authority that the certificate deliberately excludes from the public record.
