General Partnership - A general partnership is a business owned by two or more people who share management and profits and are each personally liable for its debts.

A general partnership forms automatically the moment two or more people carry on a business for profit together, even with no paperwork and no intent to create an entity. That default status is the danger: each partner is personally liable for the whole of the partnership's debts, and one partner can bind the others by contract. A handshake between two founders who start selling a product together is already, legally, a general partnership.

The core problem is that a general partnership offers no liability protection and no anonymity whatsoever. Every partner's personal assets are exposed to business creditors, and the partners are typically identifiable through the business's contracts, permits, and bank arrangements. There is no state filing that shields owners because there is no separate entity between the owners and the liabilities.

This is precisely the situation an LLC is designed to replace. Founders form a multi-member LLC to convert joint personal liability into a limited liability shield while keeping the same pass-through taxation the partnership had, since a multi-member LLC is taxed as a partnership by default and issues K-1s. In Wyoming, New Mexico, Delaware, or Nevada that same LLC also keeps the owners off the public record, adding anonymity the general partnership could never provide.

The misconception to correct is that a written partnership agreement fixes the liability exposure. It does not. A partnership agreement can allocate profits, losses, and management duties among the partners, but it cannot give any partner limited liability against outside creditors; only forming a separate entity does that. Two people already operating as partners can move into an anonymous multi-member LLC by transferring the business and its assets into the entity, gaining both the liability shield and the privacy going forward while keeping the pass-through taxation they already had.
