Under older law, an LLC could dissolve when a member died or withdrew, forcing the survivors to reconstitute the business. Modern statutes in Wyoming, New Mexico, Delaware, and Nevada grant perpetual existence by default, so the entity outlives its members. If an owner of a two-member LLC dies, the LLC does not end; the deceased member's interest passes under the operating agreement while the company keeps operating, banking, and holding title uninterrupted.

The mistake is assuming perpetual existence means the LLC takes care of itself. It does not, and the default only removes automatic dissolution, not the state's ongoing conditions for staying alive.
