What Is a Form 2553? Definition and Use

Form 2553 is the IRS election by which an eligible LLC or corporation chooses to be taxed as an S corporation to reduce owner self-employment tax.

Form 2553 - Form 2553 is the IRS election by which an eligible LLC or corporation chooses to be taxed as an S corporation to reduce owner self-employment tax.

Filing Form 2553 changes only federal tax treatment, not the LLC's legal form. Once effective, the owner must run payroll and pay themselves a reasonable salary subject to employment tax, while remaining profit passes through as distributions that escape self-employment tax. For an LLC netting well into six figures, that split can save meaningful Social Security and Medicare tax each year, which is the entire reason most owners consider the election in the first place.

Timing is where founders trip. Form 2553 must generally be filed within two months and fifteen days after the start of the tax year the election is to take effect. A missed window is not always fatal, because late-election relief is available with reasonable cause under Rev. Proc. 2013-30, but relying on that instead of filing on time is a common and avoidable mistake that invites IRS scrutiny of the election.

Eligibility is the second trap. S-corp status is limited to entities whose owners are generally US individuals, so most non-resident-owned LLCs cannot make the election at all. A foreign founder who elects S-corp treatment by mistake creates an invalid election that later has to be unwound, so residency and shareholder eligibility should be confirmed before the form is ever sent.

The election is a private IRS matter and never touches anonymity. An S-corp LLC formed in Wyoming, New Mexico, Delaware, or Nevada keeps its owners off the public state record exactly as any other LLC does. Form 2553 changes how the profit is taxed and how the owner is paid, not who can see who owns the company, so the privacy structure is unaffected by the tax election and no owner name reaches the state record because of it.
