C-Corp Election - A C-corp election is an LLC's choice, made on Form 8832, to be taxed as a C corporation rather than as a pass-through disregarded entity or partnership.
By checking the box on Form 8832, an LLC keeps its legal form but changes its federal tax treatment to that of a C corporation. It then files Form 1120 and pays corporate income tax on its profit. When those profits are later distributed to owners as dividends, they are taxed again on the owners' personal returns, producing the double taxation that pass-through LLCs avoid by default. The trade-off is that earnings kept inside the company are taxed only at the corporate rate until they are actually paid out.
The election is a deliberate strategic move, not a default anyone falls into. It can make sense for a company that reinvests earnings rather than distributing them, wants certain fringe-benefit or qualified-stock treatment, or is raising money from institutional investors who prefer to own corporate stock. A common mistake is electing C-corp status expecting immediate tax savings, then being surprised by the second layer of tax when money is finally distributed to the owners as dividends.
