Managing Member - A managing member is a member of an LLC who also holds management authority, running operations, signing contracts, and binding the company.
In a member-managed LLC, the members often designate one managing member to act as the primary decision-maker for the company. That person is typically listed as the responsible party on the EIN application (Form SS-4), signs the business bank account application, and executes any state filing that requires an authorized individual. In practice the managing member becomes the operational face of the entity to third parties like banks and payment processors, even though ownership itself may be split among several members under the operating agreement rather than concentrated in that one person.
Founders sometimes conflate managing member with the manager in a manager-managed LLC, but the two are distinct.
