A multi-member LLC taxed as a partnership files Form 1065 as an information return, meaning the LLC itself pays no federal income tax. It reports total income and deductions on the return, then issues each member a Schedule K-1 stating that member's share of profit, loss, and credits. Each member carries the K-1 figures onto their own personal return and pays tax at individual rates. This is pass-through taxation carried out for two or more owners, with the company acting purely as a reporting conduit.

The split on each K-1 comes directly from the ownership percentages set in the operating agreement, not from any public filing. A common mistake is assuming a multi-member LLC pays tax at the entity level like a corporation; it does not, unless it has affirmatively elected corporate treatment on Form 8832. Another frequent error is missing the partnership return deadline, which carries per-member, per-month late-filing penalties that compound quickly and can dwarf the effort of filing on time in the first place.

For an anonymous LLC in Wyoming, New Mexico, Delaware, or Nevada, Form 1065 does not disclose ownership publicly. The return goes to the IRS, and the K-1s go to the members and the IRS, never to a state registry or the public. An anonymous multi-member LLC therefore satisfies this federal filing in full while its members remain off the public formation record, exactly as they would if the LLC filed nothing federally. The filing and the anonymity operate on separate planes.

The mechanics reinforce why the operating agreement matters so much in a multi-member LLC: it fixes the percentages that drive every single K-1.
