Schedule K-1 - Schedule K-1 is the IRS form reporting each member's share of a multi-member LLC's income, deductions, and credits for their personal return.
In a multi-member LLC taxed as a partnership, the LLC files an informational Form 1065 and pays no income tax itself. Instead it issues a Schedule K-1 to each member showing that member's allocated share of profit, loss, deductions, and credits. Each member then carries the K-1 figures onto their own return, which is exactly how pass-through taxation works for an entity with more than one owner.
For example, a two-member LLC that splits ownership 60/40 and earns $100,000 of profit issues one K-1 reporting $60,000 and another reporting $40,000, and each member reports that amount whether or not cash was actually distributed. That last point is the most common misconception: a K-1 taxes your allocated share of profit, not the money you took out, so a member can owe tax on income left in the business.
K-1s do not threaten anonymity. They are furnished to the members and filed with the IRS, never placed on any public record, so a multi-member anonymous LLC in Wyoming, New Mexico, Delaware, or Nevada satisfies this federal obligation while its members stay off the state filing. The ownership percentages that drive each K-1 allocation come from the private operating agreement, not from anything the state publishes.
A frequent error involves non-resident members, whose K-1 income from a US LLC can carry US tax withholding and personal filing obligations under the partnership rules. Founders sometimes assume a foreign member simply receives a clean K-1 like a US member and owes nothing; in reality the LLC may be required to withhold tax on effectively connected income allocated to that member, and the member may owe a US return of their own. This is entirely separate from anonymity, does not touch the public record, and should be handled with a cross-border tax advisor before the first distribution.
