Current BOI status for California LLCs (May 2026)

As of May 2026, a California LLC's BOI obligation depends entirely on whether it is a domestic or foreign reporting company. Any LLC formed under California law is a domestic reporting company and is exempt from BOI filing under the March 21, 2025 FinCEN interim final rule (90 FR 13688). A foreign LLC that registered with the California Secretary of State to do business in California is a foreign reporting company and must file. Domestic vs foreign: what counts as a "California LLC"?

For BOI purposes, "California LLC" is ambiguous. A California LLC formed by filing Articles of Organization with the California Secretary of State is a domestic reporting company — exempt. A Cayman, BVI, or other non-US LLC that registered as a foreign LLC in California is a foreign reporting company — still required to file. Classification is determined by formation jurisdiction, not by who owns the entity.

How a foreign LLC registered in California files BOI

Foreign reporting companies file BOIR directly with FinCEN at boiefiling.fincen.gov — there is no California-specific filing channel. The report lists the entity's legal name, jurisdiction of formation, CA foreign-registration identifier, beneficial owners (25%+ owners and senior officers), and company applicants. California LLC BOI penalties

BOI penalties are federal, not state-level. After the March 2025 IFR, civil penalties accrue at $591/day for foreign reporting companies that fail to file. Criminal penalties of up to $10,000 and 2 years imprisonment remain on the statute for wilful violations. California LLCs that are domestic reporting companies face no BOI penalty under current rules.

California requires members or managers to appear on public state records.
