Registered agent is the most boring critical service in the LLC stack - and the one most commonly outsourced badly. Every US LLC is legally required to maintain a registered agent at a physical (not PO box) address in the formation state. The RA is the designated recipient of two categories of documents: (1) service of process - lawsuit summonses, court subpoenas, and other legal notices - and (2) state correspondence - annual report reminders, franchise tax notices, BOI notifications, and other regulatory communication. If the RA fails at either function, the consequences can be severe: missed service of process leads to default judgements (a court rules against you without your knowledge), missed state correspondence leads to administrative dissolution and loss of LLC liability shield.
The market is bifurcated. At the low end, $30-$50/year "agents" are just mail-forwarding services with a state address. They scan mail inconsistently, with 3-5 day delays. Mid-year switch to another RA: Cancel auto-renewal with 30 days notice. We file a Change of Agent on your behalf to transition to your new RA at no extra charge - we want clean handoffs.
If we miss a service of process notification: We're liable for resulting damages up to the $100/year fee - this is the SLA-failure refund. Document arrival is logged in our internal tracking; we have a public record of same-business-day scanning.
If state administrative dissolution occurs due to our missed reminder: We handle reinstatement at no service charge (you pay state penalties only, $50-$200 depending on state).
