Annual report filing is the most universally required, most universally missed, and most universally consequential ongoing LLC obligation. Forty-six of fifty US states require some form of annual or biennial entity-status filing from active LLCs. New Mexico is the major exception (no annual report, no annual fee). Delaware replaces the annual report with a $300/year flat franchise tax. Wyoming requires a $60 annual report on the formation-month anniversary. California requires a $20 biennial Statement of Information plus a separate $800 minimum franchise tax. Each state has its own form, fee, deadline, and disclosure requirements - and missing any single state's deadline starts the dissolution clock.

The dissolution process is the underrated risk. Missing an annual report triggers a 30-90 day grace period during which the state imposes late fees ($25-$200) and places the LLC in "not in good standing" status. Can the annual report change the registered agent?
