How to Form a Wyoming Anonymous LLC (2026)

The exact filing sequence for a Wyoming anonymous LLC: how to clear a name on wyobiz.wyo.gov, appoint a registered agent, file the Articles of Organization with the Wyoming Secretary of State for the $100 fee, get an EIN with or without an SSN, adopt an operating agreement, and open a business bank account, plus the state-specific numbers, the documents you need, and the mistakes that expose your name or stall the filing.

The short answer: You form a Wyoming anonymous LLC by clearing a name on the Secretary of State's wyobiz portal, appointing a Wyoming registered agent, and filing the Articles of Organization for a $100 state fee (1-2 business day processing). Wyoming lists no member or manager on that filing, so your name never reaches public record. Then you get an EIN, adopt an operating agreement, and open a bank account. Total cost through us is $397 all-in ($297 service + $100 state).

What Are the Steps to Form a Wyoming Anonymous LLC?

Six steps take you from a business name to a funded, anonymous Wyoming LLC: clear the name, appoint a registered agent, file the Articles of Organization, get an EIN, adopt an operating agreement, and open a bank account. Only the first three are required to legally exist; the last three make the LLC usable.

The anonymity is built into step 3. Wyoming's Articles of Organization ask only for the LLC name, the registered agent, and the organizer. There is no field for members or managers, so a properly filed Wyoming LLC never puts your name on the public record in the first place. You do not "hide" your name later; it is simply never collected.

How Do You Choose and Clear a Wyoming LLC Name?

Search your desired name on the Wyoming Secretary of State's wyobiz.wyo.gov business database, confirm it is distinguishable from existing entities, and make sure it ends with an LLC designator. Wyoming does not require you to reserve the name first; the filing itself claims it.

Wyoming law requires the name to contain "Limited Liability Company," "Limited Company," or an abbreviation such as "LLC," "L.L.C.," or "LC." The name must be distinguishable on the record from every other registered Wyoming entity, so a near-identical match to an existing LLC will be rejected. Run the exact string through the wyobiz name search before you file to avoid a bounce.

  • Use an LLC designator. End the name with "LLC" or an accepted variant.
  • Confirm it is distinguishable. A small spelling change from an existing entity may not be enough.
  • Avoid restricted words. "Bank," "trust," "insurance," and similar terms trigger extra approval.
  • Pick a neutral name for privacy. A name that is not your personal name keeps the entity from being linked to you by search.
Optional name reservation. If you are not ready to file, Wyoming lets you reserve a name for 120 days for a small fee. Most founders skip this and file directly, because the Articles of Organization secure the name at the moment of filing.

Why Do You Need a Wyoming Registered Agent?

Wyoming requires every LLC to name a registered agent with a physical Wyoming street address, and that agent's address is what appears on the public record instead of yours. The registered agent is the linchpin of the anonymity, not an optional add-on.

The registered agent accepts legal service and state mail on the LLC's behalf. Because the agent's address is published on the Articles of Organization while your name and address are not, using a commercial Wyoming registered agent means the entire public trail ends at the agent. If you listed your own home address as agent, you would defeat the privacy the state otherwise gives you. A registered agent through us renews at $100/yr.

Never use your own address as the registered agent. A PO box is not allowed, and a residential address on the filing links the LLC straight back to you. A commercial Wyoming registered agent with a real street address keeps your name and location off the public filing entirely.

How Do You File the Articles of Organization?

File the Articles of Organization with the Wyoming Secretary of State, pay the $100 filing fee, and expect 1-2 business day processing for online filings. The document lists the LLC name, the registered agent, the principal and mailing address, and the organizer, but no members or managers.

When the formation service acts as the organizer and a commercial registered agent is listed, the public Articles show only the business, the agent, and the service. Your identity stays off the state record from the first filing. This is the core difference between Wyoming and a home state that names members on the initial filing or the annual report.

What Are Wyoming's State-Specific Numbers?

Wyoming charges $100 to file, requires a $60 annual report due in the LLC's anniversary month, and levies 0% state income tax. These three numbers are what make Wyoming the flagship anonymous LLC state: low to form, low to maintain, and no state tax on the entity.

ItemAmountWhen
State filing fee$100At formation
Annual report license tax$60 minimumFirst day of the anniversary month
State income tax0%None levied
Registered agent (through us)$100/yrAnnual renewal
Anonymous LLC all-in (through us)$397 ($297 + $100 state)At formation

The Wyoming annual report is calculated on assets located in Wyoming, with a $60 floor that most anonymous LLCs pay because they hold few or no in-state assets. It is due the first day of the anniversary month of formation, and missing it leads to administrative dissolution, which breaks the liability shield and the anonymity along with it.

0% state income tax is not 0% federal tax. Wyoming imposes no state income tax, but your LLC's profits still flow to your federal return. Anyone promising a Wyoming LLC eliminates all tax is describing fraud, not a feature.

What Documents and Information Do You Need?

To form the LLC you need a cleared name, a Wyoming registered agent, and a principal and mailing address. To get the EIN and open banking you also need a responsible party's identity details and the filed Articles. Nothing on the public filing requires your name.

StageWhat you needPublic or private
Articles of OrganizationLLC name, registered agent, principal/mailing address, organizerPublic - no owner shown
EIN applicationResponsible party name and taxpayer ID (SSN or ITIN)Private - IRS only
Operating agreementMember names, ownership percentages, management termsPrivate - never filed
Bank accountArticles, EIN letter, operating agreement, ID for KYCPrivate - bank KYC only

Source: IRS EIN application (Form SS-4) and standard bank KYC requirements, verified August 2026.

Your name lives only in private records. The IRS, the operating agreement, and the bank all know who you are, because those are confidential records protected by law. The public registry does not, because Wyoming never asks. That split is the entire point of an anonymous LLC.
Operating agreement EIN service Single-member LLC

What Happens After Formation: EIN, BOI, and Banking?

After the Articles are approved, you get an EIN, check your BOI reporting status, and open a business bank account. Under the current FinCEN rule, domestic US LLCs owe no beneficial-ownership report, so most Wyoming LLCs skip BOI for now and move straight to banking.

EIN. The EIN is the LLC's federal tax ID and is required to open a bank account. With a US Social Security number you can get it online from the IRS the same day. Without an SSN, you file Form SS-4 by fax and the IRS returns the EIN in roughly one to four weeks (see the non-resident note below).

BOI status. Under the March 21, 2025 FinCEN interim final rule (90 FR 13688), entities formed in the United States - including domestic Wyoming LLCs - are currently exempt from filing a beneficial ownership information report. Only foreign entities registering to do business in the US fall within the current reporting scope. This can change, so confirm status before assuming you owe nothing.

Banking. With the EIN letter and Articles in hand, most anonymous Wyoming LLCs open with a fintech such as Mercury or Relay, which accept Wyoming LLCs at high rates and onboard online. A local Wyoming bank branch is an option if you prefer a traditional account.

Can a Non-Resident Form a Wyoming Anonymous LLC?

Yes. There is no citizenship or residency requirement to own a Wyoming LLC, and a non-resident without a Social Security number gets an EIN by filing Form SS-4 by fax, listing an ITIN or foreign tax ID as the responsible party. The online EIN portal requires an SSN, so non-residents use the fax route instead.

The fax method takes roughly one to four weeks versus same-day online, so a non-resident should file the Articles first, then submit SS-4 by fax as soon as the LLC is approved. An ITIN is not always required upfront: a foreign responsible party can be listed with a foreign identifier, though an ITIN helps with some banks and tax filings later.

Non-residents can bank too. Several fintechs onboard non-resident-owned US LLCs remotely with the EIN and Articles. Plan for the longer EIN timeline and have your passport and proof of address ready for KYC.

What Mistakes Stall the Filing or Expose Your Name?

Most failures are avoidable: listing your own address as agent, filing a name that is not distinguishable, using your personal name as the LLC name, skipping the operating agreement, or missing the $60 annual report. Each either exposes your identity or puts the LLC at risk of dissolution.

  • Listing yourself as the registered agent. Your address then appears on the public filing, defeating the anonymity. Use a commercial Wyoming agent.
  • Choosing a name that is not distinguishable. The Secretary of State rejects near-duplicates; run the wyobiz search first.
  • Using your own legal name as the LLC name. "John Smith LLC" links the entity to you by search even though the filing hides members.
  • Skipping the operating agreement. Without it, Wyoming default rules govern, and banks often require one to open an account.
  • Missing the annual report. The $60 report is due the first day of the anniversary month; a miss leads to administrative dissolution.
  • Commingling funds. Mixing personal and LLC money lets a court pierce the veil, where anonymity offers no protection.
Timeline expectation. With an SSN, a Wyoming LLC can be filed, EIN'd, and bank-ready in a matter of days. Without an SSN, budget one to four weeks for the EIN. Through us, plan on 5-10 days from WhatsApp intake to a funded, anonymous LLC.

No. The Wyoming Articles of Organization require only the LLC name, the registered agent, the principal and mailing address, and the organizer. There is no field for members or managers, so the owner is never collected on the public filing. When a commercial registered agent and the formation service as organizer are used, the public record shows the business and the agent but not your name or home address.
Wyoming requires an annual report with a license tax based on in-state assets, with a $60 minimum that most anonymous LLCs pay. It is due on the first day of the LLC's anniversary month each year. Missing it leads to administrative dissolution, which ends both the liability shield and the anonymity, so the annual report is the one recurring obligation you cannot skip.

Only foreign entities registering to do business in the US fall within the current reporting scope. This policy can change, so confirm the current requirement before assuming your LLC owes nothing. If a report is required, we file it for $150.
