New Mexico LLC Act: structure and scope

The New Mexico LLC Act is codified at NMSA 1978 § 53-19-1 through § 53-19-74. It is the cheapest US anonymous-LLC jurisdiction ($50 state fee, no annual report, no annual fee). The Act is shorter than Wyoming's or Delaware's but covers the same essentials.

§ 53-19-65 — Articles of Organization

New Mexico Articles of Organization require: LLC name, registered agent's NM address, principal office address, and management structure. Members and managers are NOT required. Filing fee is $50, the lowest of any anonymous-LLC state. Processing time is 5-15 business days.

Anonymity in New Mexico

New Mexico provides strong public-records anonymity: no member or manager disclosure on Articles, and no annual report at all. The lack of an annual report means no recurring opportunity for the state to collect ownership information.

No annual report — § 53-19 absence

Unlike every other US state, New Mexico does NOT require an annual report or annual fee for LLCs. This is codified by omission: nothing in NMSA 1978 § 53-19 requires periodic filing. The only ongoing cost is the registered agent (Anonymousllc.co bundles year 1; $100/year thereafter).

§ 53-19-35 — Charging order

New Mexico recognises the charging order as a creditor's remedy. However, the Act does NOT explicitly make it the exclusive remedy. This is a weaker asset-protection profile than Wyoming, Nevada, or Delaware. For asset-protection-first buyers, Wyoming is the safer pick.

Banking practical considerations

New Mexico LLCs face moderately harder banking than Wyoming. Mercury, Relay, and Bluevine all accept NM LLCs, but some traditional banks (Chase, BofA) are less willing without an in-person visit.
